These Terms govern your use of Modern Design Center, Inc. (“MDC”) and our website. By using the site, you agree to these Terms.

Use of the Site

You may use the site only for lawful purposes. Do not interfere with security or misuse content.

Intellectual Property

All site content is owned by or licensed to MDC and protected by law. You may not copy, modify, or distribute except as permitted.

Client Deliverables

Ownership/license terms are defined in your Statement of Work (SOW) or Master Services Agreement (MSA). Unless otherwise stated, MDC may showcase non-confidential work in our portfolio.

Payments & Refunds

Fees, payment schedules, and refunds are defined in the SOW/MSA. Late payments may incur fees.

Compliance

MDC is registered in California and holds a valid California reseller’s permit. If a project involves purchasing third‑party goods/services on your behalf, tax handling will be addressed in the SOW/MSA.

Disclaimers

The site and content are provided “as is.” We disclaim all warranties to the fullest extent permitted by law.

Limitation of Liability

MDC will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability related to the site will not exceed $100.

Indemnity

You agree to indemnify and hold MDC harmless from claims arising out of your use of the site or violation of these Terms.

Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Venue and jurisdiction lie in the state or federal courts located in California (county to be specified in your SOW/MSA).

Changes

We may update these Terms. Continued use of the site after changes means you accept the new Terms.
